Terms of Service

These terms are the agreement between you and IHS LOTHIAN LIMITED for the use of Onesheet at ihslothianprojects.com. By opening an account or using the service you accept them. If you do not, do not use the service.

01What the service is

Onesheet lays out a one-page document about a company. You supply the words and the figures; the service breaks what you wrote into a fixed set of blocks, records what you decided to leave out, produces the visual base of a page, and draws your text and your figures onto it in your browser so you can edit them.

The service is a document tool. It is not an adviser. It does not value a business, forecast its results, size its market, compare it with anyone else, or suggest what to ask for. A page it produces is not a prospectus, not an invitation to invest, and not an offer of any kind. The AI Disclaimer sets this out in full and forms part of these terms.

Features change. We may add, alter or withdraw parts of the service, and we will give reasonable notice where a change removes something you rely on.

02Your account

  • You must be at least 18 years old to open an account. The service is not directed at children.
  • One account per person. Accounts are not to be shared, sold, or resold.
  • The details you give us must be accurate, and you must keep them up to date.
  • You are responsible for what happens under your sign-in. Tell us at once if you think someone else has it.

03How the service may be used

The Acceptable Use Policy at ihslothianprojects.com/acceptable-use forms part of these terms. In particular, and because of what this service produces, you must not use it to invent trading figures, to mislead an investor or a lender, to hold yourself out as a company you do not represent, or in connection with any offer of securities you are not authorised to make.

04Subscriptions, renewal and cancellation

  • A subscription renews automatically at the end of each billing period, at the price shown above, until you cancel it.
  • A monthly plan renews every month on the day you subscribed. A yearly plan is billed once, in advance, for twelve months.
  • Cancel at any time from Billing inside your account. It takes the same number of steps as subscribing did and works through the same channel.
  • After cancelling you keep the plan until the end of the period you have already paid for. It then stops and does not renew.
  • We give at least 30 days’ notice by email before any price change. If you do not want the new price, cancel before it takes effect.
  • If a payment fails we will try again and will write to you. If it keeps failing we may suspend the plan until it is settled.

05Credits

Each plan carries an allowance of credits for the billing period. A chat request costs one, reading an uploaded photograph costs two, and generating or adjusting a layout base costs five.

Credits are a service usage allowance. They are not money, not stored value, not a payment instrument, not redeemable for cash, and not transferable to another person or account.

  • Credits are granted at the start of a period and expire at the end of it. They do not roll over.
  • There are no credit packs and no stored balance. If you run out, move up a plan or wait for the next period.
  • Credits given free — as a goodwill gesture, or with a promotion — carry the same rules and are not refundable.
  • We do not charge you for a request that failed because of a fault on our side; where one is consumed by such a fault, tell us and we will restore it.

06Who owns what

  • We own the service, the software behind it, the brand and the layout system.
  • You own what you write and what you upload. You keep it.
  • You own the finished pages you produce, subject to the Acceptable Use Policy and to anyone else’s rights in material you supplied.
  • You give us the limited licence set out in the Content License at ihslothianprojects.com/content-license so that we can host, process and deliver your work back to you.

You may not copy, decompile or reverse engineer the service, scrape it, resell access to it, or run automated traffic against it beyond any documented interface we publish.

07Accuracy is yours

Everything of consequence on a finished page — every word, figure, date and label — is entered by you and drawn by your browser. The service does not check whether any of it is true, and it does not verify your business against any register or record.

Before an export you pass a proofreading step that places what you entered beside what the finished page says. Passing it is your confirmation that the page is correct. Once exported, the accuracy of the document and of everything it asserts is yours.

Every exported page carries the line: “Prepared by the company it describes. Not an offer, not investment advice, and not verified by us.” You must not remove it, obscure it, or present a page as having been checked or endorsed by us.

08Availability

We aim to keep the service available, but we do not promise it will be uninterrupted or fault-free. We may take it down for maintenance, and we will give notice where we reasonably can. The service is provided as it is and as it is available, without warranty of accuracy or of fitness for a particular purpose beyond what the law requires us to give.

09Suspension, and ending the agreement

You may close your account at any time from Billing. Closing it ends this agreement at the end of the period you have paid for.

We may suspend or close an account that breaches these terms or the Acceptable Use Policy, that is being used unlawfully, or where a payment remains unsettled. Where the breach is serious we may rescind this agreement immediately; otherwise we will describe the problem and give you a reasonable opportunity to put it right.

If we rescind the agreement for a breach on your side, we do not refund the remainder of the period. If we rescind it for a reason that is not your fault, we refund the unused part of the period you have paid for.

Rescinding the agreement does not affect anything already accrued, and does not touch the sections on ownership, liability and governing law.

10Liability

Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot lawfully be limited. Nothing in them affects your statutory rights as a consumer.

Subject to that, we are not liable for loss of profit, loss of business, loss of opportunity, loss of goodwill, or for any indirect or consequential loss, however it arises. In particular we are not liable for a decision anyone takes after reading a page you produced, or for a funding, credit or commercial outcome that follows from one.

Our total liability to you in connection with the service, in contract, delict or otherwise, is limited to the amount you paid us in the twelve months before the claim arose.

11Your rights as a consumer

If you are dealing as a consumer, the Consumer Rights Act 2015 requires digital content and services to be of satisfactory quality, fit for purpose and as described. If they are not, you may be entitled to a repair, a replacement, or a reduction in price. Nothing here takes that away.

Time limits for court action

Your statutory rights under the Consumer Rights Act 2015 are not limited to a fixed number of years. Separately, under the Prescription and Limitation (Scotland) Act 1973, a claim in the Scottish courts must generally be raised within five years. In England and Wales the equivalent period is six years.

That five-year period is the window in which court proceedings may be raised. It is not a guarantee, not a warranty period, and it does not mean we stop being responsible after five years.

12If something goes wrong

Write to support@ihslothianprojects.com first, with your account email and what happened. We answer within one working day and we would far rather fix a problem than argue about it.

If you are resident in Scotland and your claim is for £5,000 or less, you may be able to use Simple Procedure in the Sheriff Court. This is designed to be used without a solicitor.

Consumer help

If you live in Scotland, free advice is available from consumeradvice.scot, funded by the Scottish Government. This service is available to Scottish residents only. Consumer Scotland is the statutory consumer body, and Trading Standards Scotland handles enforcement.

If you live outside Scotland, you can contact the consumer advice body in your own country. Wherever you live, the mandatory consumer-protection rules of your country of residence continue to apply to you.

13Governing law and jurisdiction

These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims) are governed by and construed in accordance with the law of Scotland.

The Scottish courts have non-exclusive jurisdiction. Nothing in this clause affects your right, as a consumer, to bring proceedings in the courts of the country where you are resident, or to rely on mandatory consumer-protection rules of that country.

14General

  • These terms, together with the six other policies linked from every page, are the whole agreement between us.
  • If a court finds part of these terms unenforceable, the rest continues to apply.
  • If we do not enforce something straight away, that is not a waiver of it.
  • You may not transfer your rights under this agreement without our written agreement. We may transfer ours if the business is sold, and your rights are unaffected.
  • Nobody other than you and us may enforce any part of this agreement.
  • We may update these terms. Registered users get at least 14 days’ notice of any material change, and the version at the head of this document changes with it.
